Terms of Service

These terms apply when you install or use VendorFlow, a Shopify app provided by Magnoriva Global. By using the app you agree to them. Last updated: September 24, 2026.

1. The service

VendorFlow helps Shopify merchants turn their orders into supplier purchase-order (PO) documents and deliver them by print or email. The app works with your store's own data and email connections; the actual purchase agreements with your suppliers are between you and them.

2. Eligibility and your account

You must be the owner or an authorised administrator of the Shopify store you connect. You are responsible for how the app is used on your store, for the accuracy of the vendor and supplier details you enter, and for keeping your Shopify login secure.

3. Plans, trials and billing

  • VendorFlow offers a Free plan and paid plans (Starter, Growth) with monthly purchase-order and vendor limits, as shown on the Plans page in the app.
  • Paid plans begin with a 3-day free trial. If you keep the plan after the trial, it is billed monthly through your Shopify invoice.
  • You can change or cancel your plan at any time; changes apply through Shopify billing from your next billing cycle.
  • Usage counts are based on POs sent or printed each calendar month. Re-sending or re-printing the same PO does not count again.

4. Acceptable use

You agree not to:

  • use the app to send spam, unlawful content, or messages to people who have not asked for them;
  • attempt to access another store's data, or use the app with a store you are not authorised to administer;
  • reverse engineer, resell, or rebrand the app as your own product;
  • use the connected email account for anything other than sending the POs and test emails the app creates for you.

5. Your data

How VendorFlow handles store data, order information and email credentials is described in our Privacy Policy, which forms part of these terms. You keep ownership of your store data and are responsible for your use of your customers' information.

6. Email delivery

The app sends POs through the email account or service you connect. Deliverability, sender reputation and any limits imposed by your email provider are outside our control. You should make sure you have permission to send email from the address you configure.

7. Availability and changes

We aim to keep the service available and improve it over time, but we may change features, add or remove functionality, or interrupt the service for maintenance. If a change is significant, we will tell you through the app or by email where we have your contact details.

8. Disclaimers and limitation of liability

The app is provided "as is" and "as available". To the fullest extent permitted by law, Magnoriva Global does not warrant that the service will be uninterrupted or error-free, and is not liable for lost profits, lost orders, supplier disputes, or indirect or consequential losses arising from use of the app. Our total liability for any claim is limited to the amount you paid for the app in the 12 months before the claim (or USD 50 if you are on the Free plan).

Nothing in these terms limits liability that cannot lawfully be limited, such as for fraud, or for death or personal injury caused by negligence, and nothing affects consumer rights you have under the law of your country.

9. Indemnity

You agree to cover reasonable losses and costs Magnoriva Global faces from claims by third parties (for example your suppliers or customers) caused by your breach of these terms, your unlawful use of customer data, or emails you send through the app.

10. Refunds

Paid plans can be tried free for 3 days. Charges are made by Shopify and, unless the law requires otherwise, are not refundable for part-used months. If you believe you were charged in error, contact us and we will review it fairly.

11. Termination

You can stop using the app at any time by uninstalling it from your Shopify store. We may suspend or terminate access if these terms are breached (for example, misuse under section 4) or if required by law. On termination, store data is deleted as described in the Privacy Policy.

12. Intellectual property

The app, its design and its code belong to Magnoriva Global. You get a limited, non-exclusive, non-transferable right to use it for your store while installed. Your store data and the POs you create remain yours.

13. Governing law and disputes

These terms are governed by the laws of India, and courts in India have jurisdiction, unless the law of your country gives you the right to bring a claim in your local courts. Before any formal dispute, please contact us so we can try to resolve it within 30 days.

14. General

If any part of these terms is found unenforceable, the rest still applies. Not enforcing a term is not a waiver of it. Neither side is responsible for delays caused by events outside reasonable control. The Shopify Partner and Merchant terms also apply to your use of Shopify itself.

15. Changes to these terms

We may update these terms from time to time. The current version is always on this page with its updated date. For significant changes we will give notice through the app. Continuing to use the app after a change means you accept the updated terms.
